Terms of Service

1. Interpretation and Definitions

These Terms of Service (“Terms”) govern your use of the CastFast platform operated by Smart Associates Limited (“the Operator”).

Key definitions used throughout these Terms:

• Agency — A talent management or model agency registered on the Platform
• Booking — A confirmed engagement of Talent for a specific Assignment
• Brief — A casting brief published on the Platform by a Client or Casting Director
• Casting Director — A registered user who searches for and shortlists Talent
• Client — A brand, advertiser, or entity that engages Talent for Assignments
• Talent — A model, performer, or creative professional registered on the Platform
• Platform — The CastFast platform at cast-fast.com and all associated services

2. The Platform

2.1 Nature of the Platform

CastFast is a marketplace and workflow platform for the fashion and photo casting industry. The Platform connects Casting Directors, Talent, Agencies, and Clients to facilitate the end-to-end casting workflow from brief creation through talent discovery, shortlisting, booking, production, and payment.

2.2 Role of the Operator

The Operator provides the Platform as an intermediary technology service. The Operator is not a party to any Booking Agreement entered into between Users. The Operator does not employ, engage, or control any Talent.

2.3 No Employment Relationship

Nothing in these Terms creates an employment relationship, partnership, or joint venture between the Operator and any User, or between any Users. Talent engaged through the Platform are independent contractors.

3. Registration and Accounts

3.1 Eligibility

To register an account, you must:

• Be at least 18 years of age, or have parental consent if aged 16–17
• Have the legal capacity to enter into a binding agreement
• If registering on behalf of an entity, have authority to bind that entity

3.2 Account Types

The Platform supports: Talent accounts, Agency accounts, Casting Director accounts, and Client accounts.

3.3 Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, all activity under your account, ensuring your account information is accurate and up to date, and complying with all applicable laws.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Upload false, misleading, or fraudulent information
• Impersonate another person or entity
• Interfere with or disrupt the Platform or servers
• Attempt to gain unauthorised access to any part of the Platform
• Use automated tools to scrape or extract data from the Platform
• Engage in harassment, discrimination, or abusive behaviour
• Circumvent or attempt to circumvent Platform fees

5. Content and Data Ownership

5.1 Your Content

You retain ownership of all Content you upload to the Platform. By uploading Content, you grant the Operator a non-exclusive, worldwide licence to use, display, and distribute your Content solely for the purpose of operating the Platform.

5.2 Talent Data

Models and talent own their personal data. Agencies are responsible for ensuring they have appropriate authority to manage talent profiles on behalf of their represented talent.

5.3 Agency Data

Agencies own their agency data, including company information, roster details, and business records. Agency names are a matter of permanent business record and are retained even after account closure.

6. Bookings and Fees

All Bookings are arranged directly between Users. The Operator facilitates the booking process but is not a party to the booking agreement. Platform fees are charged on completed bookings as set out in the Fee Schedule.

7. Intellectual Property

The Platform, including its design, functionality, and underlying technology, is owned by the Operator and protected by intellectual property laws. Users are granted a limited, non-exclusive licence to use the Platform in accordance with these Terms.

8. Limitation of Liability

To the maximum extent permitted by law, the Operator's total liability to you for all claims arising from your use of the Platform shall not exceed the greater of:

• The total fees paid by you to the Operator in the 12 months preceding the claim; or
• £100

The Operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify and hold harmless the Operator from any claims, damages, losses, or expenses arising from your breach of these Terms, your use of the Platform, or your violation of any law or third-party rights.

10. Termination

You may close your account at any time. The Operator may suspend or terminate your account for breach of these Terms. Upon termination, your right to use the Platform ceases immediately, but provisions that by their nature should survive (including limitation of liability, indemnification, and data retention) shall continue to apply.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and by posting a notice on the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
